One of our companies operating as DeltaAfrik Engineering Limited is recruiting for a Associate Counsel (Legal Advisor).

Candidate will possess a BA/BS and JD or LLB. In addition, at least 5 years of relevant legal experience and admission to the Bar is required or equivalent qualifications as may be deemed by WorleyParsons management. Outstanding ability to speak and write effectively.

Responsibilities

Analyzes legal problems raised by management. Provides advice and counsel based upon research and acquired legal knowledge.
Negotiates and drafts a broad range of contracts, agreements, and other documents, and prepares related correspondence.
Manages and assists outside counsel in handling litigation and other significant matters, or handles such matters directly and communicates issues to management.
Interfaces with various domestic and foreign agencies and prepares and files documents such as registrations and license applications with such agencies.
Manages special projects such as research projects, documentation of transactions, presentations to various groups, as assigned by the Contracts and Procurement Manager.
May be assigned responsibility for a significant area of practice such as a large and complex project, financial matters, health and safety matters, insurance matters, environmental matters, or general legal functions

LEGAL MANAGER NEEDED IN AN OIL FIRM

Job Title : Manager, Legal – ES00462
Job Description

Provide legal advisory services to the various business groups within the Company, assist in the negotiation and drafting of upstream commercial agreements and securing necessary approvals for upstream contracts.

Job Responsibility
• Ensuring compliance with the applicable legislations / regulation, agreements and legal issues affecting the Company’s operations in Nigeria.• Managing and supervising the activities of external counsel, prepare budgets and provide legal support services to the various units within the Company.• Handling routine and complex commercial contracts, contract disputes and negotiation, and corporate matters.• Examining/analyzing legal implications of the Company’s transactions with third party contractors and other stakeholders, including but not limited to, JV partners, host communities and government departments.• Liaising with appropriate regulatory authorities on behalf of the Company on legal matters.• Assisting local controllers and unit tax managers with the interpretation and application of any new laws/regulations and recommending to management actions required to enforce compliance.
Job Requirements

• A first degree in Law from a reputable University. Possession of higher degree(s) in a related discipline will be an added advantage.• Membership of the Nigerian Bar Association or its equivalent is essential.• Minimum of eight (8) years’ relevant work experience, at least four (4) of which should be in negotiating, drafting and advising on upstream commercial agreements.• Excellent knowledge of the Oil and Gas laws and regulations.• Proven ability to proactively identify local and global issues relevant to the industry and develop a working manual of these issues for use within the Company.• Good understanding of the trends and outlook of the oil and gas industry in the global and local markets.

THE JOB (REF: CCDM/16/09/08)

 Proffering professional and specialist legal advice and opinion on all matters affecting the Company’s operations and interpreting related government legislations. Drafting Deeds, Agreements and other legal documents. Co-ordinating all court cases involving the Company. Liaising with and co-ordinating all the activities of the Company’s retained legal outfits throughout the country. Touring all Company locations periodically for on-the-spot assessment of Company legal and property matters and rendering suitable assistance.

REQUIREMENTS

The preferred person for the job should not be older than 35 years of age as at December 31, 2008 and must possess the following:
 WASC/SSCE/GCE with at least credits in five subjects including English Language and Mathematics.
 Good honours degree in Law (LL.B) from a recognised University with a minimum grade of Second Class Lower Division.
 Must have been called to the Nigerian Bar with a minimum grade of Second Class Lower Division.
 Must have between 5 – 8 years post-call experience in litigation and corporate law.
 Must be conversant with general commercial practice and relevant laws relating to intellectual properties.
 Must be at ease with labour Laws and the related Factories Act, Workmen’s Compensation Act, Customs & Excise Act amongst others.
 Membership of the Institute of Chartered Secretaries and Administrators.
 Evidence of discharge from the NYSC scheme (that is NYSC discharge certificate).
 Ability to work with basic computer applications (such as Microsoft Word, Excel & Powerpoint).
